S.A.I. ATLAS ASSET MANAGEMENT S.A. registered in F.S.A. Registry under the no. PJRO5SAIR/400030, in quality of administrator of F.I.A HERALD and F.I.A MATADOR, informs the investors about the advice, by F.S.A. trough the Advice no. 716/24.08.2017 (F.I.A HERALD) and Advice no. 717/24.08.2017 (F.I.A MATADOR ) of amendments of the Issue Prospectus as a result of the introduction of the chapter 9 “Benefits Distribution Policy”. In this respect, the funds can distribute, each year, benefits for all fund units subscribed under the conditions mentioned in the issue prospectus. The value of the benefit is calculated for the period 1st of January – 31st of December of each year. The investors existing in the fund on the 31st of December (the registration date) of each year will receive benefits if the Fund has profit, as difference between the unit value on 31st of December and on 1st of January. The benefit will be distributed pro rata.
Herewith, the Advice F.S.A. no. 717/24.08.2017 (F.I.A MATADOR) advices the amendment of the Fund Issue Prospectus as a result of the reformulation of the subchapter „4.2.2 Subsequent fund units issues” in respect to the reformulation of the provision on the number of the fund units offered for subscription within subsequent issues, respectively from a number of maximum half of the fund units number subscribed until that date will be offered for subscription maximum 30.000 (thirty thousand) fund units.
Together with the above-mentioned amendment, the Issued Prospectus and the Company Contracts also include the following changes:
- In the issue prospectus of F.I.A Matador was updated the data concerning the replacement of the Directors, respectively if one of the Directors is absent, his duties are taken over by Mr. Arnautu Liviu Ştefan, the Chairman of the Board of Directors, shareholder.
- In the issue prospectus of F.I.A Matador was updated the subchapter
"3.3.4. Persons in charge of analyzing investment opportunities"
thus:" The Board of Directors is responsible for the elaboration of the
general investment policies of the Fund. The analysis department within the
Management Company analyses the investment opportunities and the implementation
of the investment policy approved by the Board of Directors and the making of
investment decisions according to this Issue Prospectus is realized by the
Directors of the Company.”
- the amendment of the expenses beard by the funds – the introduction among the fund expenses and the payment of the equivalent value Legal Entity Identifiers (LEI), in the context of the reporting to the central transactions registries, according to EMIR;
- throughout the documents, the term Closed Investment Fund was replaced with “Closed-end Investment Fund" and “Civil Society Contract” with “Company Contract”;
The investors F.I.A MATADOR and F.I.A HERALD who don’t agree with the changes occurred in the Fund’s documents have the possibility that, in 15 days between the publication date of the investors information note end the date of the entry into force of the advised changes, redeem the held units only in full.
