S.A.I. ATLAS ASSET MANAGEMENT S.A. registered in F.S.A. Register with the no. PJRO5SAIR/400030, in quality of administrator of FDI Audas Piscator, FDI Monolith and FDI Piscator Equity Plus, informs the investors about the authorization, by F.S.A through the Authorization no. 254 /10.12.2015 (FDI PISCATOR EQUITY PLUS), Authorization no. 255/10.12.2015 (FDI Audas Piscator) and Authorization no. 256/10.12.2015 (FDI Monolith) of the changes occurred in the funds establishment documents (Issue prospectus, Company contract and Funds rules) according to the provisions of the GEO no. 32/2012 and of F.S.A Regulation no. 9/2014 on the authorization and the operation of investment management companies, of collective investment undertakings in securities and of depositories of collective investment undertakings in values.
The main changes brought to the funds documents in order to align them to the Regulation 9/2014 refer to:
- the new
evaluation methodology of financial instruments held in the fund portfolio,
- mentioning the criterion used for rounding the VUAN to 4 decimals,
- the introduction of the possibility of suspending the redemption operations
in the event that, during one day, the equivalent value of the redemption
requests exceeds 20% of the value of the Funds asset. In this case, the
Management Company reserves the right to suspend the operations for maximum 5
working days.
- Changing the exchange rates used if the fund is denominated in a currency other than RON,
- updating the
section on technical tools that could be used in portfolio management;
- the terminology used for a correct / complete correlation with FSA Regulation
no. 9/2014 and GEO 32/2012;
- new provisions have been introduced regarding the progress of the liquidation process of the Funds;
- the Depositary's responsibilities were updated / reformulated in accordance with FSA Regulation no. 9/2014 and GEO 32/2012;
Together with
the amendments made for the alignment to the provisions of Regulation 9/2014, the
Management Company operated the following changes on the funds establishment
documents:
- The mention of Arnautu Liviu Stefan as a substitute of the Director,
respectively if one of the Directors is absent, his attributions are taken over
by Mr. Arnautu Liviu Stefan, the Chairman of the Board of Directors,
shareholder.
- The addition of two new funds at the section Funds Managed by S.A.I ATLAS
ASSET MANAGEMENT S.A., respectively FII Alchemist and FII Michelangelo;
- The addition of the possibility to take the investor certificate at the
head office of the Company;
- The amendment of the investments policy of FDI Piscator Equity Plus, respectively the addition of the sentence „ The Fund may also invest in other trading systems than the markets regulated in Romania, including within an alternative trading system from Romania”; herewith, it was eliminated the Fund’s possibility to invest in securities listed in the 1st and the 2nd categories of the Bucharest Stock Exchange due to the change in the categories of shares listed on the BSE, according to the new changes, the fund can invest in any share listed on the BSE, regardless of the category;
- the amendment of the expenses incurred by the funds – the introduction of the equivalent value payment - Legal Entity Identifiers (LEI) in the context of the reporting to the Transaction Central Registers according to EMIR;
- the updating/ the amendment of some provisions of the documents in order to comply with the legal provisions in force, namely the Civil Code and the FSA Norm no. 21 / 2014 regarding the financial audit;
- the investment policy limits have been updated by adding exposure to money market instruments such as promissory notes as well as highlighting their evaluation method in the section concerning the evaluation of the financial instruments;
- the provisions
regarding the investment policy of the funds and the evaluation methods of the
investment instruments were reformulated for the purpose of a correct/ complete
correlation with the FSA Regulation no. 9/2014 and GEO 32/2012;
- the updating/ the amendment of some provisions for a greater clarity/
understanding of the content of documents;
The amendments authorized by F.S.A. shall enter into force in 10 days after the publication of this information note.
