S.A.I. ATLAS ASSET MANAGEMENT S.A. registered in F.S.A.. Registry with no. PJRO5SAIR/400030, in quality of administrator of FII HERMES and FII HERALD, informs the investors about the authorization, by F.S.A. through the authorizations no. 118/26.04.2016 and no. 119/26.04.2016, of the following amendments occurred in the Issue Prospectus and the Company Contracts of the funds:
- the extension of the duration of the funds, respectively it was changed the existence duration from 60 months to 180 months;
- the change of the number of units that can be subscribed initially to FII Herald, respectively the investors may subscribe for an entire or fractional number of fund units, the first subscription being of minimum 2 fund units;
- the reformulation of the provisions regarding the number of fund units offered for subscription within the subsequent issues in the case of FII Herald, respectively a maximum of 30.000 (thirty thousand) fund units will be offered for subscription;
- the mention of the rounding to 4 decimal of the courses and the parities used in the evaluation of the assets of the funds;
Together with the above-mentioned changes, the Issue Prospectus and the Company
Contracts also include the following changes:
- the mentioning, in the documents of FII Herald Fund, of Mr. Arnautu Liviu Stefan as a substitute of the Directors according to G.E.O 32/2012 and to F.S.A. Regulation no. 9/2014, respectively if one of the Directors is absent, his duties are taken over by Mr. Arnautu Liviu Stefan, the Chairman of the Board of Directors, shareholder.
- the addition of two new funds to the funds managed by S.A.I ATLAS ASSET MANAGEMENT S.A., respectively FII Alchemist and FII Michelangelo in the documents of FII Herald Fund and the mention of FII Michelangelo in FII Hermes documents;
- the updating of the documents of the funds with the head office of SAI Atlas Asset Management SA, respectively it was replaced the address from Bucharest, 1st district, Agronomiei Boulevard, no. 8-16, Villa N3.1, Entrance A, with the address from Bucharest, 1st district, Soseaua Bucuresti-Ploiesti, no. 7A, 2nd Floor.
- the updating/ the amendment of some provisions of the documents in order to align them with the new provisions of the Civil Code and ASF Norm no. 21/2014 with subsequent amendments regarding the financial audit;
- the updating of the terminology used in the funds documents with the purpose of a correct/ complete correlation with GEO 32/2012;
- the updating/ the reformulation of some provisions from the documents for a greater clarity/ understanding of the content of the documents;
The investors of the Closed-end Investment Funds HERMES and HERALD who don’t agree with the changes occurred in the Fund’s documents have the possibility that, in 15 days between the publication date of the investors information note end the date of the entry into force of the advised changes, redeem the held units only in full.
